Terms Of Service

These Terms of Service (“Agreement”) govern your participation in and use of Misty Kortes’ coaching and implementation services (“Services”). By purchasing or engaging with these Services, you acknowledge that you have read, understood, and agree to the terms below.

By purchasing a retainer, you acknowledge that you have read, understood, and agreed to these Terms of Service.

Service Options

1. One-Project Monthly Retainer

• Includes: Delivery of one project per month.
• Commitment: A minimum commitment of three (3) months is required.
• Renewal: After the initial term, the agreement will automatically continue on a month-to-month basis.
• Cancellation: A 30-day written cancellation notice is required to terminate services.

2. Ultimate Retainer

• Includes: Delivery of one project per week.
• Commitment: A minimum commitment of six (6) months is required.
• Renewal: After the initial term, the agreement will automatically continue on a month-to-month basis.
• Cancellation: A 30-day written cancellation notice is required to terminate services.

Payment Terms

• Payment is due in full at the start of each monthly billing cycle.
• Missed or late payments may result in a suspension or termination of services.
• All fees paid are non-refundable except where required by law.

Client Responsibilities

To ensure timely completion of each project, you agree to:

• Provide all necessary materials, content, and feedback in a timely manner.
• Respond to communications and requests within the agreed timelines.
• Understand that delays in providing required information may delay project delivery.

Service Limitations

• Each retainer covers the specified number of projects only (one per month or one per week, depending on the plan selected). Additional projects outside the scope may require a separate agreement.
• Results may vary depending on the effort, implementation, and timely collaboration from both parties.
• Coaching and implementation services do not guarantee specific financial or business outcomes.

Termination

• Either party may terminate this Agreement with the required 30-day written notice after the minimum commitment period has been satisfied.
• Misty Kortes reserves the right to terminate services immediately in the event of non-payment, breach of this Agreement, or inappropriate conduct.

Intellectual Property

• All materials, resources, and frameworks provided remain the intellectual property of Misty Kortes.
• You are granted a non-exclusive license to use such materials solely for your own business or personal use. Redistribution, resale, or duplication is not permitted without written consent.

Disclaimer

Coaching and implementation services are designed to provide guidance, strategy, and support. These services are not a substitute for legal, financial, or medical advice. You are solely responsible for decisions and outcomes in your business.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of [Your State], without regard to conflict of law principles.
